Standard Terms and Conditions of Purchase

1. Product Quality and Compliance

All materials supplied must conform to the specifications, grade, and quality stated on the Purchase Order and must comply with all applicable regulatory and safety requirements. Suppliers shall maintain appropriate documentation and traceability for each lot.

2. Change and Recall Notification

Suppliers must notify Somru BioScience immediately in writing of any product recall, quality issue, specification change, safety concern, or regulatory action related to the supplied product(s). The notification must include the affected lot(s), nature of the issue, and corrective or preventive actions.

3. Certificates and Documentation

Suppliers shall provide Certificates of Analysis (CoA) or Certificates of Conformance (CoC), Material Safety Data Sheets (MSDS), and any other required documentation with each shipment. All documentation must reference the relevant PO and lot number(s).

4. Right to Audit and Inspection

Somru BioScience reserves the right to inspect, audit, or request supporting quality documentation related to the manufacturing, testing, storage, and shipment of materials supplied under this agreement.

5. Packaging and Shipping

All products must be packaged, labeled, and shipped to prevent damage, contamination, or degradation. Temperature-sensitive items must be handled in accordance with specified storage conditions.

6. Non-Conformance and Rejection

Somru BioScience reserves the right to reject or return any product that does not meet agreed specifications, quality standards, or regulatory requirements. Costs associated with replacement or return of non-conforming products shall be borne by the supplier.

7. Confidentiality

Any technical data, specifications, or information provided by Somru BioScience shall remain confidential and used solely for the purpose of fulfilling the Purchase Order.

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Province of Prince Edward Island and the applicable laws of Canada.
